Terms & Conditions
These terms explain project scope, payment, timing, ownership, third-party services, launch, support, privacy and the responsibilities of both webXcode and the client.

webXcode builds custom websites, mobile applications and business systems. These terms explain the standard relationship, while each accepted quotation or contract defines the commercial and technical details for that particular project.
Quotation, Scope & Deliverables
Each project is governed by the written quotation, proposal or contract accepted by the client. That document identifies the agreed pages, features, integrations, platforms, deliverables, responsibilities and exclusions. Work outside the agreed scope is treated as a change request and may affect the price and timeline.
Fees, Deposits & Payment
Unless the quotation states otherwise, a 50% deposit secures the project and work begins once the deposit and required onboarding information have been received. The balance and any approved additional charges must be paid before launch, transfer or final handover. Overdue amounts may pause work, hosting or support.
Client Content, Instructions & Authority
The client must provide accurate content, branding, legal notices, product information, access credentials and approvals in a usable format. The client confirms that it has authority to supply and publish all materials and that they do not unlawfully infringe third-party rights.
Timelines, Dependencies & Inactive Projects
Delivery dates are estimates unless expressly guaranteed in writing. Timelines depend on client feedback, content, third-party approvals and technical dependencies. Where a client does not respond or provide required material for an extended period, webXcode may pause the project, revise the schedule or require a restart fee before work resumes.
Revisions & Change Requests
Reasonable revisions within the approved direction are included as described in the quotation. A new direction, additional functionality, repeated reversal of approved work or work requested after sign-off may be quoted separately. No change is binding until its effect on cost and timing has been accepted in writing.
Third-Party Platforms & Costs
Domains, hosting, payment gateways, app stores, maps, email, fonts, plugins, APIs and other third-party services are governed by their own terms, fees and approval processes. webXcode cannot guarantee uninterrupted availability or approval by a third party and is not responsible for changes made by those providers.
Testing, Acceptance & Defects
webXcode will test the agreed functionality on the supported environments stated in the project documents. The client must review the product and report reproducible defects during the review or warranty period stated in the quotation. A defect is a failure to perform an agreed function; a new preference, feature or changed requirement is not a defect.
Launch, Handover & Access
Launch or handover occurs after final payment and client approval. The handover may include agreed account access, production files, deployment information and reasonable operating guidance. Credentials must be kept secure. Any transfer or migration assistance beyond the agreed handover may be charged separately.
Ownership & Reusable Components
After full payment, the client owns the final client-specific content and deliverables identified as transferable in the quotation. webXcode retains ownership of pre-existing methods, tools, templates, libraries and reusable components, while granting the client the licence needed to operate the completed product. Third-party software remains subject to its original licence.
Domains, Hosting, Security & Backups
The quotation must identify who controls the domain, hosting and production accounts. Ongoing security updates, monitoring and backups are included only where a maintenance or hosting service expressly provides them. The client should retain independent copies of important content and business data.
Maintenance & Support
Post-launch maintenance is a separate service unless expressly included. Support may cover updates, checks, backups, minor content work and assistance within the agreed monthly allocation. New features, redesigns, emergency work caused by third parties or recovery from unauthorised changes may require a separate quotation.
Cancellation, Suspension & Refunds
A deposit pays for reserved capacity, discovery and work performed and is ordinarily non-refundable once work begins. If a project is cancelled, the client remains responsible for completed work and committed third-party costs. webXcode may suspend or terminate work for non-payment, unlawful instructions, abuse or a material breach, subject to any notice required by the signed agreement.
Confidentiality & Portfolio Use
Each party must protect non-public business information received through the project. Unless the client objects in writing before launch or the project is confidential by agreement, webXcode may identify the completed public project in its portfolio and link to the live product without disclosing confidential information.
Privacy & Personal Information
Personal information is processed for project delivery, communication, billing, support and legal obligations in accordance with the Privacy Policy and applicable South African data-protection requirements. Each party remains responsible for the lawfulness of the personal information and instructions it provides.
Liability, Disputes & Governing Law
Neither party is liable for indirect or consequential loss to the extent permitted by law. Any specific liability cap, indemnity or service-level commitment must be stated in the signed agreement. The parties should first attempt to resolve disputes in good faith. South African law governs the agreement unless the contract provides otherwise.
These website terms provide a general operating framework and were last updated on 29 July 2026. The signed quotation or project contract takes priority where it contains more specific provisions. Independent legal review is recommended for material or high-risk projects.
